Website Design Agreement This Website Design Agreement (“Agreement”) is being made between Client and [Polymedia Corp. WebpageXpress.com] (that’s “We” or “Us”). [Customer Name] and [Company Name] may also be referred to as “Party” or together as the “Parties”. Your rental of the website constitutes acceptance of this agreement. 1. Services You want a website and We can’t wait to build it for You. We will provide You with the following services (“Services”) in a timely and professional manner. Description of the Services: Development of a Public facing Website featuring the customer's business name, phone, address and services and other features. If You decide the Services aren’t exactly what You are looking for, don’t worry because We can change the scope of the Services for You at any time. To update the scope of the Services, all You have to do is let Us know what You would like to change by filling out a simple form called a “Change Order”. The Change Order will explain what You want Us to do differently. If the new Services are going to require a bit more work for Us, then both Parties will have to agree in writing to an updated cost for the Services. Cost & Payment Total Cost of the Services: $49/month Amount Due at Signing with SetUp Fee: $399 set up fee Plus first month at $49 or as otherwise discounted 2. Timeline We know You are excited to receive your final product, and We don’t want to leave You waiting. We will roll up our sleeves and get work on the agreed upon until the satisfactory completion of the Services. This means that We won’t throw the towel in until the website We develop for You is performing exactly as agreed to. Here is the schedule We will follow: 3. Preliminary Design: (free demo version) no charge We will be available for 9-5 Weekdays to provide You with reasonable technical support and correct any possible errors or deficiencies. 4. Copyright Notice & Retention of domain, and design. A Copyright notice that states “©WebpageXpress” will be displayed on the bottom of each page of your website. All all times the website remains the complete and sole property of Polymedia LLC. 5. This Agreement constitutes the entire Agreement between the Parties and may not be changed, altered or modified except by any instrument in writing signed by the party against whom enforcement of such change is sought. There is no Agreement or understanding between and among the Parties other than those set forth herein. 6. Nothing in this Agreement shall be construed to create a partnership between Client and WebpageXpress®. Accordingly, neither party shall, under any circumstance: a) Act or hold itself out as an agent or representative of the other, nor incur any liability or create any obligation whatsoever in the name of the other; nor (b)Be liable for any debts, accounts, obligation or other liabilities or torts of the other party, or agents or employees. 8. WebpageXpress® has sole discretion and responsibility with regard to the operation of the website and remains it's intellectual property at all times. 9. This document constitutes a binding agreement. By authorizing the PAYPAL payment the Client agrees that he/she has had the opportunity to read the agreement in full and agrees to all of the provisions and terms contained herein. 10. The WebpageXpress reserves the right to update this agreement as necessary. 11. Either party can terminate this agreement by email notice. WebpageXpress is entitled to retain all previous payments before termination. 12. ARBITRATION OF DISPUTES ARISING UNDER THIS AGREEMENT. Any controversy or claim arising out of, or relating to this contract, or the breach thereof, shall be settled by Arbitration as governed by and Interpreted under the laws of the state of Wyoming administered by the American Arbitration Association or other qualified arbitration association. All disputes will be determined by one arbitrator. The venue of said arbitration shall be in Sheridan, WY. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall award to the substantially prevailing party, if any as determined by the arbitrator, all of its expenses costs and fees. “Expenses, Costs and Fees’ mean all reasonable pre-award expenses of the arbitration, including the arbitrator’s fees, administrative fees, travel expenses, out-of-pocket expenses such as copying and telephone, court costs, witness fees, and attorney’s fees.
